Agreement scope
These Terms of Service (the “Terms”) govern your access to and use of vertiplatform.com, any Verti-controlled subdomain, and the marketing, documentation, and informational materials made available through them (collectively, the “Site”). The Terms form a binding agreement between you and Verti, Inc. (“Verti,” “we,” “us,” or “our”).
If you access or use the Site on behalf of a company, partnership, or other entity, you represent and warrant that you have the authority to bind that entity to the Terms, and references to “you” include both you individually and the entity you represent.
By accessing or using the Site, you agree to be bound by the Terms. If you do not agree, you must not access or use the Site.
Relationship to other agreements
These Terms govern the public Site only. Production use of the Verti platform, paid subscriptions, professional services, and customer-specific deployments are governed by separate written agreements, including master subscription agreements, order forms, statements of work, data processing addenda, and security documentation.
Where a signed agreement, order form, or customer-specific contract exists between you (or the entity you represent) and Verti, that document controls to the extent of any conflict with these Terms with respect to the subject matter it covers.
Eligibility
The Site is intended for business and professional audiences. By using the Site, you represent that you are at least 16 years old (or the minimum age required in your jurisdiction to form a binding contract) and that you are not barred from using the Site under applicable law.
Verti may, at its sole discretion, refuse access to the Site or any feature of it to any person at any time, including where required by law, security, or operational considerations.
Access and permitted use
Subject to your continuing compliance with the Terms, Verti grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Site for legitimate internal business evaluation, communication with Verti, and related informational purposes.
Any other use, including resale, redistribution, public display outside the contexts permitted by these Terms, or use of the Site to develop or train a competing product, service, model, or dataset, is expressly prohibited.
Acceptable use
- Do not access, probe, or scan the Site or its underlying infrastructure other than through interfaces and methods that Verti expressly makes available.
- Do not interfere with, disrupt, overload, degrade, or attempt to gain unauthorized access to the Site, related systems, or other users.
- Do not reverse engineer, decompile, disassemble, or attempt to derive source code from any part of the Site, except to the extent that applicable law expressly prohibits such restrictions.
- Do not introduce viruses, worms, malware, or other malicious code into the Site or use the Site to distribute them.
- Do not use the Site to infringe intellectual-property rights, defame any person, violate any law or regulation, or send unsolicited communications.
- Do not use automated means, including bots or scrapers, to collect content or data from the Site without our prior written consent, except where expressly permitted by clearly published metadata (for example, robots.txt) and applicable law.
- Do not misrepresent your identity, your affiliation with any person or entity, or the source of any submission made through the Site.
Intellectual property
The Site, its content, design, organization, copy, code, graphics, visuals, logos, trademarks, service marks, and trade dress are owned by Verti or its licensors and are protected by intellectual-property laws.
Except for the limited rights expressly granted in these Terms, no right, title, or interest in or to the Site or any of its contents is transferred to you. All rights not expressly granted are reserved.
The Verti name and logo are trademarks of Verti, Inc. You may not use them without our prior written consent.
Submissions and feedback
If you submit information, requests, suggestions, ideas, comments, or other materials to Verti through the Site (collectively, “Submissions”), you grant Verti a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable right to use, reproduce, modify, distribute, and exploit those Submissions for any lawful purpose related to operating, improving, and promoting Verti’s business.
You represent that you have the right to provide any Submissions you send, that the Submissions do not infringe any third-party rights, and that Verti’s use of the Submissions as contemplated by these Terms will not violate any law or agreement.
Confidentiality
Public Site content is not confidential. If you and Verti exchange confidential information in the course of commercial discussions or evaluations, each party agrees to protect the other party’s confidential information with reasonable care appropriate to its sensitivity and to use it only for the purpose for which it was disclosed.
These confidentiality obligations are without prejudice to any separate confidentiality, evaluation, or non-disclosure agreement entered into between the parties, which will control to the extent of any conflict.
Privacy
Your use of the Site is also governed by the Verti Privacy Policy, which describes how Verti collects, uses, shares, and protects information you provide through the Site. By using the Site, you acknowledge the practices described in the Privacy Policy.
Third-party content and links
The Site may contain links to or integrations with third-party websites, applications, or services that are not operated by Verti. Verti does not endorse, control, or assume responsibility for any third-party content, products, services, or practices. Your interactions with third parties are solely between you and the third party, and any applicable third-party terms govern.
Forward-looking statements
The Site may contain forward-looking statements regarding Verti’s roadmap, capabilities, performance, or business strategy. Those statements reflect current intentions and expectations only, are subject to risks and uncertainties, and do not constitute commitments, guarantees, or binding obligations.
Purchasing decisions should be based on the features and capabilities generally available at the time of purchase and the terms of the relevant written agreement.
Disclaimers
Except as expressly stated in a separate written agreement, the Site and all content made available through it are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
Verti expressly disclaims, to the maximum extent permitted by applicable law, all warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. Verti does not warrant that the Site will be uninterrupted, error-free, secure, or accurate at all times, or that it will meet your requirements.
Limitation of liability
To the maximum extent permitted by applicable law, in no event will Verti, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or related to your use of or inability to use the Site, even if Verti has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the aggregate liability of Verti arising out of or related to these Terms or your use of the Site will not exceed one hundred United States dollars (US$100). The foregoing limitations apply regardless of the legal theory on which the claim is based and notwithstanding the failure of any limited remedy of its essential purpose.
Indemnification
You agree to defend, indemnify, and hold harmless Verti and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees and costs, arising out of or related to your violation of these Terms, your misuse of the Site, your violation of any law or regulation, or your infringement of any third-party right.
Suspension and termination
Verti may suspend, restrict, or terminate your access to the Site, in whole or in part, at any time and for any reason, including for suspected violation of these Terms, security concerns, compliance with legal process, operational protection, or extended inactivity.
Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, submissions, disclaimers, limitation of liability, indemnification, and governing law.
Changes to the Site and Terms
Verti may modify, suspend, or discontinue any part of the Site at any time, with or without notice. Verti may also update these Terms from time to time. When material updates are made, we will revise the date at the top of the Terms and, where appropriate, provide additional notice.
Your continued use of the Site after an update takes effect constitutes acceptance of the updated Terms. If you do not agree with the updates, you must stop using the Site.
Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Subject to mandatory provisions of applicable law, the federal and state courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Site, and each party consents to the personal jurisdiction and venue of those courts.
Miscellaneous
These Terms constitute the entire agreement between you and Verti regarding the Site and supersede any prior or contemporaneous understandings on that subject. If any provision is held to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Verti’s failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. You may not assign or transfer these Terms without Verti’s prior written consent; Verti may assign these Terms without restriction.
